End-User License Agreement (EULA)

Effective Date: ** Friday, February 14, 2025

 This End-User License Agreement (“Agreement”) is a binding contract between you “User,” and “VerifiedBizlists.com,” and those governing your purchase and use of marketing contact lists, including all lists sold through our platform. 

 By purchasing, downloading, or using our Products, you acknowledge that you have read, understood, and agree to be bound by this Agreement. 

1. License Grant**

1.1 Upon payment, we grant you a non-exclusive, non-transferable, and non-sublicensable license to use the Product solely for your internal business purposes. 

1.2 This license does not transfer ownership or intellectual property rights to you. All rights, title, and interest in the Products remain with us. 

2. Payment and Delivery**

2.1 Pre-Made Lists:** Payment must be made in full before you can download any list.

3. Restrictions on Use**  You agree that you will not: 

3.1 Resell, distribute, sublicense, or otherwise transfer the Product to any third party. 

3.2 Use the Product for illegal, unethical, or unauthorized purposes. 

3.3 Attempt to reverse-engineer, decompile, or otherwise modify the Product. 

4. No Refund Policy** 

4.1 **Final Sale:** All sales are final and non-refundable due to the digital nature of the Products. 

4.2 You acknowledge and agree that no exceptions will be made to this policy. 

5. Limitation of Liability**  To the fullest extent permitted by law: 

5.1 The Products are provided "as-is" without warranties of any kind, whether express or implied, including but not limited to merchantability or fitness for a particular purpose. 

5.2 We are not responsible for the accuracy, completeness, or usefulness of the information contained in the Products. 

5.3 In no event shall we be liable for any damages, including but not limited to direct, indirect, incidental, or consequential damages arising from your use of the Product. 

6. Termination** 

6.1 We reserve the right to terminate this Agreement and your access to the Product at any time if you breach any terms herein. 

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles. 

8. Miscellaneous** 

8.1 This Agreement constitutes the entire understanding between you and “VerifiedBizlists.com,” regarding the subject matter and supersedes all prior agreements or understandings. 

8.2 If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect. 

8.3 Any disputes or claims arising under this Agreement shall be subject to binding arbitration in Orange County, California.
